Venue Terms

The terms for venues that claim a Booko listing, take a paid plan or pay commission on bookings.

1. About these terms

These Venue Terms are an agreement between Booko Ltd (“Booko”, “we”, “us”), a company registered in England and Wales under number 16562915, and the business that operates a venue listed on Booko (“you”). They apply when you claim a listing in the venue portal, take a paid plan, or receive enquiries after accepting them.

Each venue account manages one venue. To manage another venue, you need a separate account with a different email address, and each venue has its own plan and billing.

You accept them for the business, and confirm that you are authorised to do so. They are for businesses only; you are not acting as a consumer. Our Terms and Conditions cover use of the website generally, and our Privacy Policy explains how we handle personal information. If these Venue Terms conflict with them, these Venue Terms apply to you.

2. Words we use

  • Organiser: a person or business using Booko to find a venue.
  • Enquiry: an email Booko sends you on an Organiser’s instruction about an event.
  • Booking: an agreement between you and an Organiser, or someone booking for them, for an event that Booko sent you an Enquiry about. It includes a booking made directly with you after an introduction. When an Organiser chooses your venue on Booko, your confirmation of the booking there is a Booking.
  • Booking Value: the total the Organiser pays you for the Booking, including hire fees, minimum spend, food, drink and other services, excluding VAT, discretionary service charges and tips passed to staff, and deposits you return in full.

3. Your listing

Booko shows facts about venues with the source each came from, and decides what to publish. Paying for a plan never changes which facts we show or how we check them. You can report corrections and we will review them promptly. Anything you give us for your listing, such as text or photographs, you must have the right to share; you allow us to use it to run and promote Booko while you remain listed.

4. What you agree to do

  • Keep the information you give us accurate, and tell us about closures or major changes.
  • Reply to Enquiries in good faith, and not use Booko to collect Organisers’ details for unrelated marketing.
  • When an Organiser chooses your venue, promptly confirm the booking on Booko, or tell them that the space is no longer available.
  • Enter the final Booking Value of each Booking honestly on our booking value form within 24 hours of the event starting, or tell us within that time that it did not go ahead, and tell us promptly if a Booking is cancelled or its value changes.
  • Not ask or encourage Organisers to book outside Booko in order to avoid commission. Commission applies to a Booking however it is finally made.
  • Keep your venue portal sign-in secure, and remove people who no longer work for you.

5. Plans and fees

  • Basic: pay as you go, no fee, with 15% commission on Bookings.
  • Professional: £79 a month, or £699 a year, with 10% commission on Bookings.
  • Premium: £249 a month, or £1,999 a year, with 5% commission on Bookings.

Paid plans are billed in advance, monthly or annually, through our payment provider Stripe, and renew automatically until cancelled. Annual billing costs less than twelve monthly payments: 26% less for Professional and 33% less for Premium. Upgrades take effect immediately and are charged pro rata. Downgrades and cancellations take effect at the end of the period you have paid for, and we do not refund part of a period except where the law requires it.

If a payment fails, paid features continue for 7 days while you update your payment details, then your listing moves to Basic until payment is made.

We may change plan prices, features or commission rates by giving you at least 30 days’ notice. A price change applies from your next renewal after the notice period. You can cancel before it takes effect.

6. VAT

Booko is not currently registered for VAT, so no VAT is added to our fees or commission and our invoices show no VAT. If we register for VAT, we will tell you at least 30 days before we start adding VAT at the applicable rate to fees and commission charged after that date.

7. Commission on bookings

Commission is payable on each Booking, on the whole Booking Value, at the rate of the plan you were on when Booko sent you the Enquiry. It applies only to Enquiries we send after you accept these Venue Terms, and to Bookings for events that take place within 12 months of the Enquiry.

When an Organiser chooses your venue through Booko, we ask you to confirm the booking or to tell them the space is no longer available. Your confirmation is the Booking: an Organiser choosing your venue is not a Booking until you confirm it. By confirming a Booking, you agree to enter its final Booking Value on our booking value form within 24 hours of the event starting, or to tell us within that time that it did not go ahead. We email you a link to the form as the event starts, and you can also use the venue portal. You may attach a copy of the final invoice you issued to the Organiser, and we may ask for it, or for other reasonable evidence, if we need to check a value.

If you do not enter the final Booking Value in time, we will estimate it from the information we hold, such as your quote and the Organiser’s event details, and send you an invoice for commission on that estimate, payable within 7 days. If you then give us the final Booking Value, we will issue a credit, or a further invoice, for the difference. If we disagree about a Booking, we will contact you and try to resolve it fairly.

We invoice commission on a final Booking Value after the event date. If you pay for a plan monthly, it is added to your next plan invoice; otherwise, including on Basic and annual plans, we send a separate invoice, payable within 14 days. Commission on an estimate is always invoiced separately. If a Booking is cancelled or its value falls after we have invoiced it, tell us within 60 days of the event and we will issue a credit for the difference.

8. Paying us

You authorise us, through Stripe, to charge your saved payment method for plan fees and commission added to your plan invoice. If an invoice is unpaid when due, we may charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998, and may suspend paid features or venue portal access until it is paid.

9. How ranking and paid placement work

Search results are ordered mainly by how well a venue matches the Organiser’s request: capacity, area, catering rules, the requirements and filters chosen, and whether the search names the venue. Among venues that match equally well, venues on a paid plan are shown first, Premium ahead of Professional. Premium venues may also appear first on collection and tag pages they already belong to. Paid placements are always labelled “Featured” or “Featured Premium”, and paying never makes a venue appear for a search it does not match. See how we rank results.

We do not guarantee any number of Enquiries or Bookings.

10. Organisers’ personal information

When an Organiser chooses your venue, or approved an introduction before we introduced choosing on Booko, we share their name, email address and optional phone number with you. From then on you are responsible for that information as an independent controller under UK data protection law, and must use it only to deal with their event and as the law allows. Our Privacy Policy explains how we handle personal information about you and your team.

11. Suspending or ending access

You can cancel a paid plan at any time in the venue portal, and ask us to close your venue account by emailing support@booko.email.

We may suspend or remove your venue portal access, paid features or listing if you breach these Venue Terms, if we reasonably believe you are not authorised to act for the venue, or to protect Organisers or Booko. We will tell you why, and, unless the law or the seriousness of the problem prevents it, give you 30 days’ notice before ending our agreement and a chance to put things right. You can ask us to review any such decision by emailing support@booko.email.

If our agreement ends, commission remains payable on Bookings from Enquiries we sent before it ended, and fees already due remain payable.

12. Our responsibility to you

We provide Booko with reasonable care and skill, but we do not promise it will be uninterrupted or error-free. Nothing in these Venue Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow us to limit.

Otherwise, neither of us is liable for loss of profit, revenue, business or goodwill, or for indirect or consequential loss. Our total liability to you in any 12-month period is limited to the fees and commission you paid us in that period.

13. Changes to these terms

We may update these Venue Terms. We will email you at least 15 days before a change takes effect, or longer if the change needs more time to adjust to, unless a shorter period is required by law or to deal with an unforeseen security risk. If you do not agree, you can end our agreement before the change takes effect. Changes to prices and commission follow the 30-day notice in the Plans and fees section. We may ask you to accept the new version before you buy or change a plan.

14. General

These Venue Terms, with our Terms and Conditions and Privacy Policy, are the whole agreement between us about the venue portal, plans and commission. We may send notices to the email address on your venue account. You may not transfer this agreement without our consent; we may transfer it to a business that takes over Booko. If part of these terms is found unenforceable, the rest still applies. They are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
